These Terms should be read together with the Ami Privacy Policy, which is incorporated into these Terms by reference. Please read both carefully before using the Service.

These Terms may be amended by us from time to time as described in Section 19 (Changes to the Service and to These Terms) below. As amended, these Terms will be binding upon you and will govern your continued use of the Service.

"Ami" means the Service, as branded and made available by us. References to “using Ami” or “Ami’s responses” refer to the Service.

"Pilot" means the current invite-only, pre-release phase of the Service described in Section 4.

"Policies" means the Ami Privacy Policy and any additional notices referenced in these Terms, each as amended from time to time and incorporated into these Terms by reference.

"Service" means the Ami iOS application and its backend services, including its AI coaching and companion features, Memory, reminders, check-ins, and any related websites or services we operate.

"Your Content" means the messages, goals, plans, memories, preferences, and other content and information you provide to, or generate using, the Service.

2. AGREEMENT TO THESE TERMS

By creating an Account, tapping to accept, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms include a binding arbitration provision and class-action waiver in Section 22, which affect your legal rights, including your right to bring a claim in court or to participate in a class action. This applies during the Pilot on the same basis as it will following general availability of the Service.

3. WHO CAN USE AMI (ELIGIBILITY)

(i) Ami is currently available by invitation only, as a Pilot, to a limited group of testers.

(ii) You must be 18 years or older and able to form a binding contract.

(iii) You are responsible for all activity under your Account, and for keeping your device and Apple sign-in secure. One Account per person.

4. PILOT / PRE-RELEASE NATURE OF THE SERVICE

Ami is pre-release (beta) software provided for evaluation. You accept the following:

(i) The Service may be incomplete, contain errors, change materially, be interrupted, or be discontinued at any time without notice.

(ii) Features, availability, and performance are not guaranteed, and we may reset, suspend, or delete Pilot data. Keep your own copies of anything important to you.

(iii) Confidentiality. Non-public information about the Service, including unreleased features, screens, and performance, is confidential; please do not disclose or publish it without our consent.

5. WHAT AMI IS AND WHAT IT IS NOT

Ami is not a medical, mental-health, legal, or financial service, and it is not an emergency service. Ami provides general informational and organizational support only and is not a substitute for a qualified professional. Do not rely on Ami for medical, mental-health, legal, financial, or other professional decisions. In an emergency or crisis, do not use Ami. If you may be in danger or are experiencing a mental-health emergency, contact your local emergency number (in the U.S., 911) or a crisis line (in the U.S., call or text 988). The Service is currently offered only in the United States during the Pilot; these numbers will be localized for each additional country as the Service becomes available there.

1. General purpose: Ami is an AI assistant and executive-functioning / life coach for everyday planning, reflection, accountability, and organization, designed to work with you the way a trusted mentor or accountability partner would, tailored to your goals and routines.

2. AI limitations: Ami’s responses are generated by AI and may be inaccurate, incomplete, out of date, or inappropriate. Use your own judgment and verify anything important before relying on it.

3. No professional relationship: Using Ami does not create a doctor, therapist, attorney, financial-adviser, or other professional relationship.

6. REMINDERS, CHECK-INS, AND ALARMS ARE BEST-EFFORT

Proactive notifications, Ami check-ins, reminders, and (where offered in future) alarms are provided on a best-effort basis and may be delayed, deferred, or not delivered at all, for example due to your device settings, permissions, quiet hours, network conditions, Apple’s systems, or ours. Ami is designed to avoid duplicate contact, which means an uncertain delivery may not be retried.

Do not rely on Ami for medication, safety-critical, time-critical, or otherwise important reminders. Use a dedicated, reliable tool for anything where a missed or late notification could cause harm.

7. YOUR ACCOUNT AND SECURITY

(i) You sign in with Sign in with Apple. You are responsible for maintaining the security of your Apple account and device.

(ii) Notify us promptly of any unauthorized use of your Account. We may suspend access to protect the Service or other users.

8. ACCEPTABLE USE

You agree not to:

(i) use the Service in violation of any law, or to infringe or misappropriate anyone’s rights;

(ii) harass, threaten, or harm others, or generate or distribute illegal, harmful, or infringing content;

(iii) attempt to manipulate, jailbreak, or prompt-inject the AI, extract system prompts, or cause the AI to bypass its safeguards;

(iv) reverse engineer, decompile, scrape, or access the Service by automated means, except as permitted by law;

(v) probe, overload, disrupt, or circumvent the security, rate limits, or usage limits of the Service;

(vi) input other people’s personal information without a lawful basis, or use Ami to make decisions producing legal or similarly significant effects about other people; or

(vii) resell, sublicense, or provide the Service to third parties, or use it to build a competing product.

We may set and enforce usage limits, and may investigate and take action (including suspension or termination) for suspected violations.

9. YOUR CONTENT

1. You own your content: You retain ownership of Your Content.

2. License to operate the Service: You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely to provide, secure, and improve the Service, consistent with the Privacy Policy. As described there, we do not use Your Content to train our own models, and AI processing by OpenAI is subject to the Privacy Policy.

3. Your responsibility: You represent that you have the rights necessary to provide Your Content and that it does not violate these Terms or the law.

10. AI OUTPUT

Subject to the limitations in Section 5, and as between you and us, you may use Output for your personal, non-commercial use during the Pilot.

Output may not be unique; the Service may generate similar responses for others, and you must not present Output as professional advice or as human-authored where that would mislead.

11. FEEDBACK

If you send us feedback, ideas, or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation or compensation to you.

12. THIRD-PARTY SERVICES

The Service relies on third parties, including Apple (Sign in with Apple, push notifications, TestFlight, on-device Calendar/Reminders Health, location and motion, and, in future, alarms and App Store billing) OpenAI (AI processing), and optional Google and Microsoft account connections. Your use of those features is also subject to the third party’s terms and policies. We are not responsible for third-party services, and device features are provided by Apple subject to the permissions you grant in iOS.

13. FEES

The Service is currently free during the Pilot. We may introduce paid features or subscriptions in the future. Any purchase would be handled by Apple through the App Store under Apple’s terms, and we will disclose pricing and any auto-renewal details before you buy. This disclosure commitment applies whenever paid features launch, whether during the Pilot or following general availability.

14. PRIVACY

Our collection and use of personal information is described in the Ami Privacy Policy. Please review it to understand how the Service handles your data, including AI processing and your choices and rights.

15. SUSPENSION AND TERMINATION

(i) You may stop using the Service at any time and delete your Account in Settings → delete account.

(ii) We may suspend or terminate your access at any time, including for breach of these Terms, to protect the Service or users, or upon the end or discontinuation of the Pilot.

(iii) On termination, your right to use the Service ends. Deletion and retention of your data are described in the Privacy Policy. Provisions that by their nature should survive, including Sections 9–11 and 16–24, survive termination.

16. DISCLAIMERS

The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that any AI Output is accurate, reliable, or fit for your purposes. Some jurisdictions do not allow the exclusion of certain warranties, so some of the exclusions above may not apply to you, and any statutory warranty that cannot lawfully be excluded remains in effect notwithstanding the foregoing. These disclaimers apply equally during the Pilot and following general availability of the Service.

17. LIMITATION OF LIABILITY

To the maximum extent permitted by law, we and our suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or other intangible losses, arising out of or related to the Service or these Terms.

Our total aggregate liability for all claims relating to the Service will not exceed the greater of the amounts you paid us in the twelve (12) months before the claim, or US$100. This cap applies equally during the Pilot and following general availability of the Service; it is not reduced or increased on account of the Service being free during the Pilot. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

18. INDEMNIFICATION

You agree to indemnify and hold us harmless from claims, losses, and expenses arising out of your misuse of the Service or your breach of these Terms or the law. This indemnity applies during the Pilot on the same basis as it will following general availability of the Service.

19. CHANGES TO THE SERVICE AND TO THESE TERMS

We may modify the Service or these Terms. For material changes to the Terms, we will provide notice in the app and, where required, ask you to accept again; the app records the version of the Terms you accepted. Changes are effective when posted (or on any later stated date), and your continued use after they take effect constitutes acceptance. As amended from time to time, these Terms are binding upon you and all other Users of the Service.

20. GOVERNING LAW

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, formation, or validity (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the state of Delaware, without regard to conflict-of-laws rules. The governing law and venue selected here apply during the Pilot and will continue to apply following general availability of the Service.

21. CALIFORNIA RESIDENTS

If you are a California resident, California Civil Code Section 1789.3 entitles you to know that you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Boulevard, Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210, to raise any unresolved complaint regarding the Service.

Nothing in these Terms limits any consumer protection right that cannot be waived under California law. Additional rights available to California residents with respect to their personal information are set out in our Privacy Policy.

22. DISPUTE RESOLUTION: INFORMAL RESOLUTION, MEDIATION, AND ARBITRATION

Please read this section carefully. It affects your legal rights, including your right to bring a claim in court.

Informal Resolution First

Before filing a claim relating to the Service, you agree to contact us using the information in Section 24 and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Mediation

If a dispute is not resolved through informal negotiation within thirty (30) days, the parties agree to attempt to resolve the dispute through mediation administered by the American Arbitration Association (AAA) under its Mediation Procedures then in effect, before either party commences arbitration. The mediation will take place in New York, New York, or remotely if the parties agree, and each party will bear its own costs of mediation unless the parties agree otherwise.

Agreement to Arbitrate

If a dispute is not resolved informally or through mediation, you and BFAI Technologies agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service, including its formation, applicability, breach, termination, enforcement, interpretation, or validity, will be resolved by binding arbitration administered by the AAA under its Consumer Arbitration Rules then in effect, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. The arbitration will be conducted by a single arbitrator and, consistent with the AAA’s consumer rules, will be held in New York, New York, or by videoconference or written submissions if the parties agree. The arbitrator’s decision will be final and binding, subject to any limited right of appeal available under the U.S. Federal Arbitration Act.

Class Action and Jury Trial Waiver

You and BFAI Technologies each waive the right to a trial by jury and the right to participate in a class action, class arbitration, or representative action arising out of or relating to these Terms or your use of the Service. All disputes must be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. If this class action and jury trial waiver is found to be unenforceable as to a particular claim or dispute, that claim or dispute will proceed in a court of competent jurisdiction, and the remainder of this arbitration provision will remain in force.

California Arbitration Fee Compliance

For California consumers, we will comply with the arbitration fee payment timing requirements of California Code of Civil Procedure Sections 1281.97 and 1281.98.

Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party’s intellectual property rights.

This section governs disputes relating to the Service, including these Terms and the Privacy Policy.

23. MISCELLANEOUS

Entire Agreement

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior agreements on that subject.

Severability and No Waiver

If a provision is unenforceable, the rest remains in effect; our failure to enforce a provision is not a waiver. Any waiver must be in writing and signed by an authorized representative of BFAI Technologies to be effective.

Assignment

You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

No Third-Party Beneficiaries

There are no third-party beneficiaries to these Terms, except that Apple and OpenAI may be intended beneficiaries of the provisions that concern them. This applies during the Pilot, including distribution through TestFlight, on the same basis as it will following distribution through the App Store.

Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control.

Notices and Electronic Communications

We may provide notices to you by email, through the Service, or by posting in the app. You consent to receive communications from us electronically, and agree that such communications satisfy any legal requirement that they be in writing.

Export Control and Compliance

You agree to comply with all applicable export control and economic sanctions laws and regulations in connection with your use of the Service, and represent that you are not located in, or a resident of, any country or region subject to comprehensive sanctions, and are not on any restricted party list.

Language

These Terms are drafted in English. Any translation provided is for convenience only, and the English version will govern in the event of any conflict.

Headings

Section headings are included for convenience only and do not affect the interpretation of these Terms.
